There's a great article on the FinancialDirector site entitled "Don't let software licensing fall between the M&A cracks" that clearly illustrates how M&A is a major source of software compliance problems.

As we talk to companies, a huge part of the problem is that they don't have a sufficient software asset management program in place to begin with.  So, when you add an acquisition to the mix, things get really bad.  The article rightly points out that understanding software licenses needs to be a part of the due diligence process.  But doing so without a software asset management program already in place that is delivering continuous software compliance and optimizing your software spend for your entire software estate will still leave you with major problems.
